1.Acceptance of Terms
These User Agreement and Platform Terms (the "Terms") govern your access to and use of Linkerr websites, applications, AI-powered tools, marketplaces, expert profiles, scheduling tools, payment tools, communications, recordings, transcripts, notes, enterprise programs, sponsored conversation programs, and related services (collectively, the "Services").
By creating an account, accessing the Services, booking or offering a career conversation, joining as an Expert, participating in a sponsored program, or using any Linkerr feature, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.
These Terms incorporate any additional product terms, order forms, program terms, expert program terms, community rules, and policies that Linkerr makes available to you. Linkerr's separate Privacy Policy explains how we collect, use, disclose, and protect personal information.
These Terms are under review by our attorneys and may be updated when that review completes.

You must be old enough to use the Services under applicable law and to enter into a binding agreement. The Services are not intended for children under 13. If you are under 18, you may use the Services only with permission from a parent or legal guardian, or through an approved school or sponsored program where required consents have been obtained.
Paid conversations, expert accounts, payouts, tax forms, and other monetized features may be limited to users who are at least 18 years old or who otherwise have required parental or guardian consent. Linkerr may require additional verification before enabling paid or expert features.
- You must provide accurate account, profile, billing, and contact information.
- You are responsible for keeping your login credentials confidential and for activity under your account.
- You may not create fake accounts, impersonate others, misrepresent credentials, or use another user's account without permission.
- You must promptly notify Linkerr of unauthorized account access or suspected misuse.
Communications, SMS, Phone, and Push Notifications
By providing contact information or using the Services, you agree that Linkerr may contact you through email, in-product messages, SMS/text messages, phone calls, video call reminders, push notifications, and similar channels for operational, transactional, security, support, booking, payment, program, and administrative purposes.
If you separately opt in to marketing or promotional communications, Linkerr may send product updates, event invitations, Founding Expert opportunities, referral messages, or other promotional communications. Consent to receive marketing calls or texts is not a condition of using or purchasing the Services.
Message and data rates may apply. You represent that you are the subscriber or customary user of any phone number you provide and that you will update Linkerr if your number changes.
You may opt out of promotional emails by using the unsubscribe link. You may opt out of promotional texts by replying STOP or using another method Linkerr provides.
If you opt out of all SMS, phone, or push communications, some features such as booking confirmations, reminders, security alerts, or sponsored program notices may not work as intended.
5.User Roles and Responsibilities
Linkerr serves multiple types of users. Your responsibilities depend on how you use the Services.
Individuals and Seekers
- Use Linkerr for lawful, respectful, and career-related purposes.
- Make your own decisions and independently evaluate any guidance you receive.
- Do not ask Experts to disclose confidential, proprietary, trade secret, interview, employer, client, or legally restricted information.
- Do not treat any conversation as a guarantee of employment, admission, promotion, compensation, visa approval, investment, or other outcome.
Experts
- Provide accurate profile, credential, affiliation, and availability information.
- Share practical experience while avoiding misleading claims, guarantees, conflicts of interest, and unauthorized disclosure of confidential information.
- Treat Individuals with respect and professionalism.
- Comply with all obligations to employers, former employers, clients, schools, professional organizations, and other third parties.
Enterprise Customers
- Use Linkerr programs in a way that is lawful, non-discriminatory, and consistent with employment, privacy, education, and consumer protection laws.
- Provide accurate program information and obtain any required notices or consents for sponsored programs.
- Do not use Linkerr as a substitute for legally required hiring, screening, accommodation, or employment decision processes unless separately agreed in writing with Linkerr and reviewed for compliance.
6.Career Conversations and Expert Guidance
Linkerr facilitates access to people, tools, and information. Linkerr does not provide career, employment, immigration, legal, financial, medical, mental health, investment, tax, or professional advice. Experts are independent users, not employees, agents, representatives, or partners of Linkerr unless Linkerr expressly states otherwise in writing.
Guidance from Experts is based on their personal experience, perspective, and professional judgment. You are solely responsible for deciding whether and how to use any information, recommendation, or insight provided through the Services.
- Linkerr does not guarantee job offers, interviews, admissions, promotions, salary increases, employer interest, expert availability, or any other outcome.
- Linkerr does not verify every statement made by Experts, Individuals, Enterprise Customers, or other users.
- You should independently verify information before making important career, education, financial, legal, immigration, or employment decisions.
- If you need legal, financial, medical, immigration, mental health, or other regulated advice, consult a licensed professional in that field.
Emergency and Crisis Situations
Linkerr is not an emergency, crisis, medical, mental health, legal, immigration, financial, tax, or regulated professional advice service. If you are experiencing an emergency, crisis, mental health concern, or situation involving immediate risk of harm, do not use Linkerr as your source of help. Contact local emergency services, crisis resources, or qualified professionals immediately.
7.Expert Terms
Experts may be invited, approved, rejected, verified, ranked, featured, suspended, or removed at Linkerr's discretion. Approval as an Expert does not create an employment, partnership, agency, franchise, fiduciary, or joint venture relationship with Linkerr.
- Experts may be able to set rates, availability, topics, audience preferences, and profile content. Linkerr may provide suggested pricing, marketplace placement, program eligibility, quality guidelines, and trust and safety requirements.
- Experts are responsible for their own taxes, licenses, business registrations, insurance, and compliance obligations.
- Experts may not guarantee outcomes or imply endorsement by current or former employers unless authorized.
- Experts may not disclose confidential information, trade secrets, non-public hiring information, proprietary interview questions, or employer-restricted materials.
- Experts may not take Linkerr-introduced users off-platform to avoid fees or program controls unless Linkerr authorizes it in writing.
- Any promotional benefits, including Founding Expert badges, commission-free periods, marketplace placement, or special payout terms, are governed by the specific program terms shown at sign-up or otherwise provided by Linkerr.
Expert Credentials, Updates, and Verification
Experts must accurately describe their background, skills, education, employment history, credentials, licenses, certifications, affiliations, and areas of experience. Experts must promptly update profile information if it becomes inaccurate, misleading, outdated, restricted, suspended, revoked, or otherwise materially changed.
Linkerr may review, verify, re-check, audit, approve, reject, hide, rank, limit, suspend, or remove Expert profiles, badges, marketplace placement, or access to monetized features at any time.
Experts must not offer guidance outside their actual experience or qualifications, and must comply with professional, ethical, employer, confidentiality, and conflict-of-interest obligations.
If an Expert has a license, credential, employer status, or affiliation that changes in a way that affects the Expert profile or the topics offered, the Expert must update Linkerr and stop offering affected topics until resolved.
Unless expressly stated in the product, Linkerr does not perform comprehensive background checks on Experts. Any verification Linkerr offers is limited to the specific checks described in the applicable product surface or program terms, and users should apply their own judgment when selecting and interacting with Experts.
No Guarantee from Expert or Founding Expert Status
The terms "Expert," "Founding Expert," "verified," "featured," "recommended," or similar labels are marketplace descriptors. They do not guarantee any particular level of expertise, accuracy, availability, quality, user fit, employment access, employer endorsement, or outcome. Users should evaluate each Expert, ask appropriate questions, and use their own judgment.
8.Enterprise and Sponsored Conversation Programs
Linkerr may allow Enterprise Customers to sponsor conversations, create career pathways, invite employee experts, support student or community programs, or engage future talent through structured career exploration. Sponsored Conversations are paid for, subsidized, or made available by a sponsor so that eligible users can access guidance at no cost or a reduced cost.
A Sponsored Conversation does not mean that a user has applied for a job, is being screened for employment, or will receive preferential treatment unless the program materials expressly state otherwise. Enterprise Customers remain responsible for their own hiring, recruiting, employment, education, and compliance decisions.
- Linkerr may identify the sponsor of a Sponsored Conversation before participation.
- Enterprise Customers may receive program metrics, participation data, aggregated insights, and other information as described in the Privacy Policy, order form, or program terms.
- Linkerr should not be used to request or infer protected-class information or make discriminatory employment or education decisions.
- Enterprise Customers must not pressure users to disclose personal, confidential, protected, or sensitive information that is not necessary for the program.
9.Payments, Platform Fees, Taxes, and Payouts
Certain Services may require payment. Prices, taxes, fees, subscriptions, commissions, revenue shares, and payout rules will be shown before purchase or described in applicable program terms. All payments are due in the currency shown at checkout unless otherwise stated.
Linkerr may use third-party payment processors to process payments, hold funds, issue payouts, prevent fraud, comply with tax reporting obligations, and manage refunds or disputes. By using paid features, you agree to the applicable payment processor terms.
- Individuals authorize Linkerr or its payment processor to charge the payment method provided for purchases, subscriptions, taxes, and applicable fees.
- Experts authorize Linkerr or its payment processor to deduct Linkerr platform fees, commissions, payment processing fees, taxes, chargebacks, refunds, or other amounts described in applicable program terms before remitting payouts.
- Experts are responsible for providing accurate payout, tax, and identity information when required.
- Linkerr may suspend access to paid features or payouts if payment information is invalid, payments fail, fraud is suspected, or legal/tax compliance information is incomplete.
Payment Holds, Chargebacks, and Payout Adjustments
Linkerr may delay, hold, offset, reverse, recover, or adjust payments or Expert payouts if Linkerr reasonably believes there is fraud, abuse, suspicious activity, chargeback risk, refund eligibility, duplicate payment, payment processor issue, tax or verification issue, policy violation, no-show dispute, off-platform circumvention, or legal/compliance concern.
If Linkerr issues a refund, credit, chargeback response, or adjustment related to a conversation, Linkerr may offset the amount against unpaid or future Expert payouts, recover the amount from the Expert, or require repayment where permitted by law and program terms.
Linkerr may require additional information before releasing payouts, including identity, tax, banking, fraud prevention, or compliance information.
Subscriptions, Free Plans, and Auto-Renewal
Linkerr may offer a free plan and paid subscription plans. Paid subscriptions are billed in advance on a recurring basis, such as monthly or annually, at the price and interval shown at checkout, plus applicable taxes.
AUTO-RENEWAL: unless you cancel, a paid subscription renews automatically at the end of each billing period, and the payment method on file is charged at the start of each new period. You may cancel at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period, you will not be charged further, and you keep access to paid features until the period ends, unless a different rule is shown at checkout or required by law.
If we change subscription prices, we will provide advance notice and an opportunity to cancel before the new price takes effect. Free trials and promotional offers convert to paid subscriptions at the end of the trial or promotional period unless cancelled before that time, as disclosed at sign-up.
Discounted or eligibility-based pricing, such as student pricing, may require verification, such as a valid school email address, and may end when eligibility ends. Refunds for subscriptions are handled under Section 10 and applicable law.
10.Cancellations, Refunds, and No-Shows
Linkerr may publish cancellation, rescheduling, refund, expiration, and no-show policies for specific products or programs. Those policies apply in addition to these Terms. Unless otherwise stated, payments may be non-refundable once a conversation is completed or once a specified cancellation window has passed.
If an Expert fails to attend, substantially shortens, or materially fails to provide an agreed conversation, Linkerr may provide a refund, credit, rescheduling option, or other remedy at its discretion or as required by law. If an Individual fails to attend or cancels late, the Expert may be entitled to all or part of the fee, subject to applicable policies.
Promotional Credits, Referrals, and Founding Expert Incentives
Linkerr may offer promotional credits, sponsored conversation credits, referral rewards, Founding Expert incentives, commission-free periods, badges, priority placement, discounts, or other limited-time programs. These benefits are governed by the program terms shown at the time they are offered.
- Credits and incentives are generally not cash, not transferable, not refundable, and may expire unless Linkerr states otherwise.
- Linkerr may modify, pause, revoke, or recover credits or incentives if they are issued by mistake, used fraudulently, abused, transferred improperly, or connected to account manipulation, self-referrals, fake bookings, chargebacks, or policy violations.
11.AI Features and AI Outputs
The Services may include AI Features such as an AI Career Strategist, personalized planning, expert matching, search, summaries, suggested questions, meeting notes, transcript analysis, recommended next steps, support tools, trust and safety tools, and other automated features.
- AI-generated outputs may be inaccurate, incomplete, outdated, biased, non-unique, or unsuitable for your situation. You are responsible for reviewing and verifying AI outputs before relying on them or sharing them with others.
- Do not submit sensitive personal information, passwords, payment card data, government identifiers, health information, highly confidential employer information, trade secrets, or information you are not authorized to share into AI Features.
- AI Features do not replace human judgment, professional advice, or independent research.
- Linkerr may use AI Features to support matching, content moderation, product improvement, abuse prevention, and user experience, subject to the Privacy Policy and applicable law.
- Linkerr may apply human review and automated review to AI inputs and outputs for safety, quality, abuse prevention, troubleshooting, and compliance.
12.Recordings, Transcripts, Notes, and Conversation Materials
Certain conversations, events, group sessions, or AI-supported interactions may include recording, transcription, captioning, note-taking, summarization, speaker labels, timestamps, chat logs, Q&A, and related metadata when enabled. Linkerr will provide notice or obtain consent where required by law or product settings.
You may not independently record, capture, publish, or distribute a conversation without the consent of all participants and compliance with applicable law. Conversation Materials may include personal, professional, or confidential information, and you must treat them responsibly.
- AI-powered notes and summaries are provided for convenience and may contain errors.
- Participants are responsible for reviewing notes before using or sharing them.
- Linkerr may retain Conversation Materials as described in the Privacy Policy and applicable product settings.
- Private conversation content should not be disclosed publicly unless all affected participants consent and no law, contract, or policy is violated.
13.User Content and Intellectual Property
You retain ownership of content you submit to Linkerr, subject to the license you grant us to operate, provide, maintain, secure, improve, and promote the Services. You represent that you have the rights needed to submit and share your User Content.
By submitting User Content, you grant Linkerr a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, store, reproduce, display, perform, distribute, modify, adapt, translate, create derivative works from, and otherwise use the User Content as reasonably necessary to operate, provide, secure, improve, and promote the Services, subject to your settings, product choices, and the Privacy Policy.
- Public profile information, public posts, reviews, expert insights, and other public User Content may be visible to other users and may appear in search or promotional surfaces.
- Private messages, private conversation notes, and non-public materials are handled according to product settings, program terms, and the Privacy Policy.
- Deleting User Content or closing your account may end our active display of that content, but copies may remain in backups, logs, records, completed transactions, shared conversation histories, legal compliance records, or de-identified/aggregated data as permitted by law.
- Linkerr and its licensors own the Services, software, design, brand, logos, workflows, AI systems, recommendations, rankings, and platform technology, excluding your underlying User Content.
Public and Private Areas of Linkerr
The Services may include public, shared, program-specific, and private spaces. Public profile fields, public Expert insights, public reviews, public posts, and community content may be visible to other users, visitors, search tools, sponsors, or promotional surfaces depending on product settings.
Private messages, booked 1:1 conversations, private career plans, non-public AI notes, non-public transcripts, and private attachments are not intended for public display. However, Linkerr may process, access, review, retain, or disclose private materials when reasonably necessary to provide the Services, operate AI or note features, process payments, provide support, investigate disputes, enforce policies, prevent fraud, protect safety, comply with law, or with user consent, as described in the Privacy Policy.
Do not share confidential employer, client, school, trade secret, regulated, or sensitive personal information unless you have the right to do so and the sharing is appropriate for the feature you are using.
Users are responsible for choosing what to post publicly and for respecting the privacy and confidentiality of other participants.

15.Confidentiality and Employer Information
Linkerr is built around trusted career conversations, but trust requires boundaries. You must not disclose information you are legally, contractually, ethically, or professionally required to keep confidential.
- Experts should speak from experience without revealing confidential employer information, proprietary interview materials, trade secrets, client information, restricted compensation data, non-public strategy, or information subject to non-disclosure, employment, academic, regulatory, or professional obligations.
- Individuals must not pressure Experts to disclose restricted information.
- Experts may decline questions that would require them to disclose confidential information or violate a duty.

16.Third-Party Services and Integrations
The Services may integrate with third-party tools such as payment processors, calendar providers, video platforms, analytics providers, communications tools, identity or verification providers, customer support tools, and AI technology providers. Third-party services may have their own terms and privacy policies.

If you provide ideas, suggestions, feedback, or recommendations about Linkerr, you grant Linkerr the right to use them without restriction, obligation, attribution, or compensation. Feedback is not confidential unless Linkerr separately agrees in writing.

Certain provisions survive termination, including payment obligations, intellectual property rights, licenses, confidentiality, disclaimers, limitation of liability, indemnification, dispute terms, and any other provisions intended to survive.
20.Disclaimers and No Guarantees
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, LINKERR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, QUIET ENJOYMENT, AND RELIABILITY.
Linkerr does not guarantee the accuracy, completeness, safety, suitability, legality, quality, availability, or usefulness of any user content, expert guidance, AI output, conversation, expert profile, sponsored program, enterprise pathway, or third-party content.
21.Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LINKERR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, INVESTORS, LICENSORS, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR LOST-PROFIT DAMAGES, OR FOR LOSS OF DATA, GOODWILL, REPUTATION, OPPORTUNITY, EMPLOYMENT, ADMISSION, COMPENSATION, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY LAW, LINKERR'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO LINKERR FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US $100. Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
22.Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Linkerr and its affiliates, officers, directors, employees, contractors, agents, licensors, and partners from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to your use of the Services, User Content, violation of these Terms, violation of law, violation of third-party rights, tax or payment obligations, confidentiality breaches, disputes with other users, or misuse of AI Features.
23.Dispute Resolution and Governing Law
This section should be finalized by counsel based on Linkerr's state of incorporation, operating location, customer base, and consumer law strategy. Unless prohibited by applicable law, Linkerr may require informal dispute resolution, binding individual arbitration, a class action waiver, and governing law and venue in a designated state.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Delaware, unless applicable law requires otherwise.
[Dispute resolution provisions, including any informal dispute resolution requirement, arbitration agreement, and class action waiver, to be finalized and inserted following legal review.]
24.General Terms
